Terms of Use

The agreement that governs access to Haleos products and services.

These terms set the conditions for using Jane, JaneOS1, AtlasOS1, and the Haleos websites. They protect our customers and our proprietary technology.

These Terms of Use (the “Terms”) are a binding agreement between you and Haleos, Inc. (“Haleos,” “we,” “us,” or “our”). They govern access to and use of Haleos websites, products, and services, including Jane, JaneOS1, AtlasOS1, Haleos Education, related applications, interfaces, and any pre-release, waitlist, demo, or support experience we make available (together, the “Services”).

By accessing or using the Services, creating an account, submitting a form, starting a conversation with Jane, or otherwise indicating acceptance, you agree to these Terms. If you are using the Services on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.

Who we are

Haleos, Inc. is a Delaware corporation with its principal place of business in Austin, Texas. Haleos designs and operates proprietary software and intelligence products for founders, investors, enterprises, and institutions.

Nothing in the Services, these Terms, or any public documentation licenses you to inspect, copy, infer, or reconstruct Haleos technology. The methods, designs, and know-how behind the Services are proprietary and remain exclusively ours.

Eligibility

You must be able to form a binding contract with Haleos. If you are under 18, you may use the Services only with the consent of a parent or legal guardian where the law requires it, and never in a manner that collects personal information from children in violation of applicable law.

You may not use the Services if you are barred from doing so under the laws of the United States or any other applicable jurisdiction, including export and sanctions laws.

Accounts and access

Some Services require an account, invitation, waitlist registration, or other approved access. You are responsible for the information you provide, for keeping credentials confidential, and for activity that occurs under your account.

You must notify us promptly if you believe your account or access has been compromised. Haleos may refuse, suspend, or revoke access where we reasonably believe these Terms, the law, or the security of the Services is at risk.

The Services

Haleos offers proprietary products that help people and organizations work with greater continuity, judgment, and care. Public descriptions of the Services describe outcomes and capabilities. They do not disclose, and are not a specification of, the internal design of Haleos technology.

The Services may include websites, applications, conversational experiences, administrative tools, documentation, and related support. Features, availability, and interfaces may change as we improve the products. Pre-launch, waitlist, preview, and demonstration experiences may be incomplete, limited, or withdrawn.

Haleos may provide enterprise, education, or other packaged offerings under a separate order, evaluation, or master agreement. If those documents conflict with these Terms on a commercial matter, the signed commercial document controls for that matter. These Terms continue to protect Haleos proprietary technology in every case.

Acceptable use

You may use the Services only for lawful purposes and only in the manner Haleos makes available to you. You agree not to:

  • Probe, scan, or test the vulnerability of the Services except with Haleos written authorization
  • Circumvent, disable, or interfere with security, access controls, usage limits, or authentication
  • Reverse engineer, decompile, disassemble, translate, or otherwise attempt to derive source code, model weights, prompts, system instructions, architectures, methods, or trade secrets
  • Use the Services to discover, extract, infer, or reconstruct Haleos proprietary technology, frameworks, or know-how
  • Scrape, harvest, or systematically collect content, outputs, or telemetry in a way that competes with Haleos or exposes our methods
  • Use outputs, logs, or observations from the Services to train, fine-tune, evaluate, or improve a competing model, product, or service
  • Benchmark, publish, or disclose performance, behavior, or comparative results of the Services without our prior written consent
  • Impersonate any person or misrepresent your affiliation with Haleos or any third party
  • Upload unlawful, infringing, or harmful content, or content you do not have the right to use
  • Interfere with other users or with the integrity or performance of the Services
  • Use the Services to build a competing product or to assist anyone else in doing so

Haleos may investigate suspected violations and may suspend or terminate access. We may also take legal action to protect our rights, customers, and proprietary technology.

Proprietary technology and intellectual property

The Services, and all software, interfaces, models, systems, methods, processes, algorithms, prompts, configurations, designs, documentation, audiovisual works, trademarks, and know-how they contain or embody, are owned by Haleos or its licensors. They are protected by copyright, trademark, trade secret, and other intellectual property laws.

Haleos technology is proprietary. We do not publish the internal design of Jane, JaneOS1, AtlasOS1, or any other Haleos product. Public pages, these Terms, and other Trust Center documents describe legal rights, privacy practices, and security principles. They are not a technical disclosure.

No rights are granted except the limited, revocable, non-exclusive, non-transferable right to access and use the Services as Haleos makes them available to you. You receive no license to:

  • Source code, object code, or other human-readable or machine-readable form of Haleos software
  • Models, weights, checkpoints, or other trained artifacts
  • Prompts, system instructions, evaluation materials, or operational playbooks
  • Architectures, frameworks, pipelines, or methods
  • Internal documentation, tooling, or confidential materials

You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works of the Services except as Haleos expressly permits in writing. Any unauthorized use is a material breach and may also constitute misappropriation of trade secrets.

If the law of your jurisdiction grants a non-waivable right to reverse engineer for interoperability, you may exercise that right only to the minimum extent required, only after written notice to Haleos, and only if Haleos has not already provided a lawful alternative.

Customer content

You retain ownership of content you submit to the Services (“Customer Content”), including text, files, and other materials you choose to provide. You grant Haleos a limited license to host, process, transmit, and display Customer Content solely as needed to provide, secure, and support the Services for you, and to meet legal obligations.

You represent that you have the rights necessary to submit Customer Content and that doing so does not violate law or third-party rights. Haleos does not claim ownership of your Customer Content.

Haleos may generate responses, suggestions, drafts, and other outputs through the Services (“Outputs”). As between you and Haleos, and subject to these Terms and any applicable commercial agreement, Haleos assigns to you whatever rights Haleos has in Outputs generated for you from your Customer Content. That assignment does not include Haleos proprietary technology, templates, methods, or any material that is not unique to your Customer Content.

Outputs may be imperfect. You are responsible for reviewing them before relying on them, especially for legal, financial, medical, or other consequential decisions.

Confidentiality

If you receive non-public information about Haleos, the Services, or our business, including information you observe through use, evaluation, or support, you will treat it as Haleos confidential information. You will not disclose it or use it except as needed to use the Services as permitted.

This obligation covers, without limitation, product behavior that is not publicly documented, unpublished features, security controls, commercial terms, and any inference you might draw about Haleos methods. Public marketing copy is not a license to reverse those methods.

Haleos will treat your non-public Customer Content as confidential and will use it as described in these Terms and the Privacy Policy.

Feedback

If you provide ideas, suggestions, or other feedback, you grant Haleos a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction and without obligation to you. Feedback is not confidential unless we agree otherwise in writing.

Third-party services

The Services may interoperate with third-party products you choose to use. Haleos does not control those products and is not responsible for their terms, privacy practices, or security. Your use of a third-party product is governed by that provider’s terms.

Connecting a third-party product does not grant you any right to Haleos proprietary technology, and it does not grant the third party any right to that technology except as needed to complete the integration you requested.

Pre-release and evaluation

Waitlists, demonstrations, previews, and other pre-release experiences are provided as-is. They may be inaccurate, incomplete, or discontinued. They exist so you can evaluate whether Haleos is right for you. They are not a disclosure of Haleos methods and may not be used for competitive analysis.

Fees and commercial terms

Some Services are offered without charge during a given period. Paid offerings, if any, will be described at the point of purchase or in a separate order. Unless a signed agreement says otherwise, fees are non-refundable and exclusive of taxes.

Haleos may change prices or packaging with notice where the law requires it. Continued use after a change takes effect constitutes acceptance of the new terms for future use.

Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, HALEOS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Haleos does not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that Outputs will be accurate, complete, or suitable for any particular purpose. The Services are not a substitute for professional advice.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HALEOS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

HALEOS TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNTS YOU PAID HALEOS FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS BEFORE THE CLAIM.

These limits do not apply to liability that cannot be limited under applicable law, or to your breach of the proprietary technology, acceptable use, or confidentiality provisions.

Indemnity

You will defend, indemnify, and hold harmless Haleos and its officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your Customer Content, your use of the Services, or your breach of these Terms.

Termination

You may stop using the Services at any time. Haleos may suspend or terminate access if you breach these Terms, if required by law, or if we discontinue a Service.

Upon termination, your right to use the Services ends. Sections that by their nature should survive, including proprietary technology, confidentiality, disclaimers, limitation of liability, indemnity, and governing law, will survive.

Export and sanctions

You will not use, export, or re-export the Services except as authorized by United States law and the laws of the jurisdiction in which the Services are used. You represent that you are not located in a restricted jurisdiction and are not a denied or restricted party.

Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Exclusive jurisdiction and venue lie in the state and federal courts located in Travis County, Texas, and you consent to that venue.

If you are a consumer and the law of your residence requires a different result for a non-waivable right, that law applies only to that right.

Changes

Haleos may update these Terms. The “Last updated” date on this page will change when we do. Material changes will be posted on this page or communicated through the Services. Continued use after an update becomes effective constitutes acceptance.
